By accessing or using the Site or our services, you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, you must not access the Site or use any services.

We reserve the right to update or modify these Terms at any time without prior notice. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms.

2. Privacy and Data Collection

We respect your privacy and are committed to protecting your personal information. InspiringClicks collects limited information through analytics tools such as Google Analytics, cookies, and other SEO data providers.

When you use our Site, we may collect:

Personal Information: such as your name, email address, and other details you voluntarily provide.

3. Ownership and Intellectual Property

All content, including but not limited to text, images, videos, graphics, designs, and code created by InspiringClicks (“Content”), remains the sole property of InspiringClicks until full payment is received.

Upon full payment, all rights, title, and interest in the Content delivered to you are transferred to you.

You may not:

Copy, distribute, reproduce, or create derivative works from any Content without explicit authorization;
Remove, obscure, or alter copyright notices or proprietary rights notices contained in or on the Content.

Unauthorized use of our Content prior to full payment is strictly prohibited and may result in legal action.

4. Restrictions on Use

You agree not to use the Site or its Content for any unlawful or prohibited purpose, including but not limited to:

Engaging in fraudulent, deceptive, or misleading activities;
Transmitting viruses, malware, or harmful code;
Attempting to gain unauthorized access to systems, data, or networks;
Reverse engineering, decompiling, or disassembling the Site or services;
Engaging in spam, phishing, or unsolicited advertising;
Infringing upon intellectual property rights or violating the privacy of others;
Distributing obscene, defamatory, hateful, or otherwise offensive materials;
Assisting others in defeating technological protection measures such as digital rights management (DRM);
Engaging in harassment, threats, or abusive language directed at our employees, contractors, or affiliates.

We reserve the right to investigate and cooperate with law enforcement authorities regarding any misuse of the Site.

5. Responsibility for Minors

If you authorize a minor to use our Site, you are fully responsible for:

The minor’s online conduct;
Monitoring the minor’s access to and use of the Site;
Any consequences resulting from the minor’s misuse of the Site.

We recommend that parents and guardians actively supervise the online activities of minors.

6. Communication

]InspiringClicks maintains professional communication standards through email, phone, client portal, and in-person or virtual meetings. While we prefer scheduled meetings for optimal service, we understand business needs may require flexible communication.

Abusive, threatening, or inappropriate behavior toward our team members may result in service termination after appropriate warnings, except in cases of serious misconduct.”

7. Payment Terms

All invoices are payable within 14 days of issuance.

Late payments are subject to a late fee equal to ten percent (10%) of the monthly service fee. InspiringClicks reserves the right to suspend or terminate services for non-payment without notice.

In the event of chargebacks, disputes, or unauthorized payment reversals, you agree to:

Notify us first and attempt resolution in good faith;
Reimburse us for any costs or fees incurred in resolving the dispute.

Ownership rights to Content are not transferred until full payment is completed and cleared.

8. Refunds and Cancellations

Certain services, including but not limited to SEO, content marketing, and digital advertising, are non-refundable once initiated due to the allocation of significant resources.

Monthly Payment Contracts: For services paid on a monthly basis, cancellation requires thirty (30) days written notice and will incur a cancellation penalty equal to one (1) full month’s service fee to cover administrative costs and resource allocation.

Upfront Payment Contracts: For services paid in advance (upfront), clients may cancel at any time during the contract term under the following conditions:

Annual Contracts (12 months):

Cancellation with six (6) months written notice: No cancellation penalty will apply, and InspiringClicks will continue to provide contracted services during the notice period.
Cancellation with less than six (6) months notice: A cancellation penalty equal to ten percent (10%) of the total contract value will apply to cover administrative costs and resource allocation.

Semi-Annual Contracts (6 months):

Cancellation with three (3) months written notice: No cancellation penalty will apply, and InspiringClicks will continue to provide contracted services during the notice period.
Cancellation with less than three (3) months notice: A cancellation penalty equal to ten percent (10%) of the total contract value will apply to cover administrative costs and resource allocation.

General Cancellation Requirements: All cancellation requests must be submitted in writing via email to InspiringClicks. Your cancellation request will not be considered valid until you receive written confirmation from InspiringClicks acknowledging receipt of the request.

9. Service Rejection and Termination

InspiringClicks reserves the right, at our sole discretion and without notice, to suspend, restrict, or terminate your access to our Site or services at any time, for any reason, including but not limited to:

Violations of these Terms;
Illegal or improper use of the Site or services;
Non-payment of fees;
Conduct that may harm InspiringClicks’ reputation, employees, clients, or affiliates;
Technical or security issues.

Termination will not relieve you of your obligations under these Terms, including payment obligations. Upon termination, any rights granted to you will automatically terminate, and you must cease all use of the Site and services.

We shall not be liable to you or any third party for any termination or suspension of access.

10. Disclaimers

You expressly agree that your use of the Site and services is at your sole risk. The Site, services, and all content are provided “as is” and “as available” without warranty of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, accuracy, or availability.

Without limiting the foregoing, InspiringClicks does not guarantee that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

No advice, information, or service obtained by you from us or through the Site shall create any warranty not expressly stated in these Terms.

11. Indemnification

You agree to defend, indemnify, and hold harmless InspiringClicks, its officers, directors, employees, agents, affiliates, licensors, and suppliers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees and costs) arising out of or in any way connected with:

Your breach of these Terms;
Your misuse of the Site or services;
Your violation of any third-party rights, including intellectual property or privacy rights;
Any content or information submitted by you to the Site.

You agree to cooperate fully in the defense of any claim. InspiringClicks reserves the right to assume exclusive defense and control of any matter otherwise subject to indemnification by you.

12. External Links Disclaimer

The Site may contain links to third-party websites or services that are not owned or controlled by InspiringClicks.

We are not responsible for the content, privacy policies, or practices of any third-party sites or services. You acknowledge and agree that InspiringClicks shall not be liable, directly or indirectly, for any damage or loss caused by your use of or reliance on any such content or services available through any third parties.

Accessing third-party sites is at your own risk. We encourage you to read the Terms and Privacy Policies of any third-party websites you visit.

13. Submissions Policy (Unsolicited Ideas)

We welcome feedback and suggestions; however, any ideas, proposals, or submissions (collectively, “Submissions”) you provide to InspiringClicks shall be considered non-confidential and non-proprietary.

By submitting ideas or suggestions to us, you agree:

InspiringClicks is under no obligation to review, consider, or implement the Submission;
InspiringClicks may use, copy, distribute, and otherwise exploit the Submission for any purpose without restriction or compensation to you;
You represent and warrant that you own or otherwise control all rights to your Submission.

You waive any moral rights you may have in the Submission and agree that InspiringClicks has no obligation to credit you or seek permission for its use.

14. Monitoring Notice

You acknowledge and agree that InspiringClicks has the right, but not the obligation, to monitor the Site and all use thereof.

We may monitor, retain, or disclose any information necessary to:

Comply with applicable laws or governmental requests;
Operate the Site properly;
Protect ourselves, our users, and third parties.

Monitoring may include capturing data on Site usage, including user activities and communications, to ensure security, quality assurance, and compliance with these Terms.

15. Force Majeure

InspiringClicks shall not be responsible for any failure or delay in the performance of its obligations under these Terms where such failure or delay results from any cause beyond our reasonable control, including but not limited to:

Acts of God;
Natural disasters;
Acts of government;
War, terrorism, or civil unrest;
Labor disputes;
Internet service interruptions;
Power outages.

Performance times shall be extended for a period equivalent to the time lost due to any such delay.

16. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law principles.

You agree that any action at law or in equity arising out of or relating to these Terms shall be filed only in the courts located in Alberta, and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action.

17. Arbitration and Dispute Resolution

Any controversy, claim, or dispute arising out of or relating to these Terms, the Site, or services provided shall first be attempted to be resolved through good-faith negotiations.

If unresolved, such dispute shall be referred to and finally resolved by binding arbitration conducted under the rules of the Canadian Arbitration Association.

Arbitration shall be held virtually or in Calgary, Alberta, unless otherwise agreed.

Each party shall bear its own costs and expenses;
Class actions and jury trials are expressly waived;
Judgment on the arbitration award may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, InspiringClicks reserves the right to seek injunctive or equitable relief in court to prevent infringement, misappropriation, or violation of our intellectual property rights.

18. Miscellaneous

Entire Agreement: These Terms, along with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and InspiringClicks.
Waiver: The failure of InspiringClicks to enforce any right or provision shall not constitute a waiver of such right or provision.
Severability: If any provision is found unenforceable, the remaining provisions will continue to be valid and enforceable.
Assignment: You may not assign or transfer your rights or obligations under these Terms without prior written consent. InspiringClicks may assign these Terms without restriction.
Electronic Communications: You agree to receive communications electronically and acknowledge that all agreements, notices, disclosures, and other communications satisfy any legal requirements that such communications be in writing.
Language: These Terms & Conditions are written in English at the express request of the parties.

19. No Guarantees

InspiringClicks does not guarantee specific results from the use of the Site or services, including but not limited to:

Search engine rankings;
Website traffic increases;
Lead generation;
Conversion rates;
Revenue growth.

All services and deliverables are provided “as is” without warranties of any kind. While we strive for excellent outcomes, results depend on numerous factors beyond our control, including but not limited to market conditions, client actions, and third-party platform changes.

20. Calgary Business Directory

The Calgary Business Directory is a public-facing informational service. InspiringClicks conducts limited verification that confirms the existence of a Google Business Profile and that validates the email address provided at the time of submission. However, we do not verify business legitimacy, licensing, service quality, or legal standing unless explicitly stated. InspiringClicks assumes no liability for the accuracy, legality, or reliability of any listed business.

The following terms apply specifically to submissions and listings in our Calgary Business Directory.

20.1 Eligibility & Authorization

You must be authorized to represent the business you are submitting. InspiringClicks reserves the right to refuse any listing submission at its sole discretion, without explanation.

20.2 Listing Types

Free Listing: Basic directory presence available to Calgary-area businesses, including business name, contact information, and a brief description.

Premium Featured Listing: Enhanced visibility on our page with priority placement in the directory, an SEO writeup published on the InspiringClicks website, and an article (blog post or page) either published on your website or created for you to publish yourself, whichever you prefer. Pricing is available on our website and subject to change.

20.3 Free SEO Writeup Eligibility (Limited Time)

Qualified businesses may receive a complimentary SEO writeup published on the InspiringClicks website. To qualify, a business must have 20 or more verified Google reviews and a verified Google Business Profile with a confirmed address. This offer is available for a limited time and may be discontinued without notice.

SEO writeups are promotional content created on behalf of the business and do not constitute an endorsement, recommendation, or guarantee of the business’s quality, reliability, or services by InspiringClicks.

20.4 Accuracy & Updates

All submitted information must be accurate and current. You are responsible for notifying us of any changes to your business information. InspiringClicks may edit or remove listings containing inaccurate, contradictory, misleading, or outdated information without notice.

20.5 Content Rights & Ownership

You retain ownership of any original materials you submit to the directory, including but not limited to logos, descriptions, and images (“Submitted Content”). By submitting content, you grant InspiringClicks a perpetual, royalty-free, non-exclusive license to display, reproduce, adapt, and use the Submitted Content as needed to operate and promote the Calgary Business Directory.

Any listings, SEO writeups, or other directory content created by InspiringClicks — whether based on your Submitted Content or not — remain the sole property of InspiringClicks. You may not reproduce or redistribute this content without our prior written permission. Content published on your website as part of a Premium Featured Listing belongs to you.

You represent and warrant that you own or have full rights to use all Submitted Content, including any logos, photos, and descriptive materials. You agree not to submit any content that infringes on the intellectual property or other legal rights of others.

If we receive a complaint or legal notice regarding any Submitted Content, we may remove your listing or any related materials without notice.

By submitting a listing, you agree to indemnify and hold harmless InspiringClicks from any claims, damages, liabilities, or expenses (including reasonable legal fees) arising out of:

(a) content you submitted;
(b) your breach of these Terms; or
(c) your violation of any applicable laws or third-party rights.

20.6 Edits & Changes

Directory Listings: We will make reasonable edits or corrections to your directory listing upon request.

Free SEO Writeups on InspiringClicks Website: We will make edits and changes upon request within reasonable parameters. Major rewrites are not included.

Content on Your Website (Premium Featured Listings): We will make revisions within 14 days of delivery. After that period, or once the content is published, we will only make minor corrections such as contact information updates or factual errors — no more than once per subscription period. Complete rewrites are not included.

20.7 Listing Approval & Removal

All listings are subject to admin approval before going live. InspiringClicks reserves the right to reject, edit, or remove any listing at any time for any reason, including but not limited to: false, misleading, or inaccurate information; fraudulent business claims; customer complaints; inappropriate content; legal concerns; or non-payment. This applies to both directory listings and SEO writeups published on our website.

20.8 Premium Listing Payment & Renewal

Premium Featured Listings are billed annually and processed through Stripe.

All payments are non-refundable.

Subscriptions auto-renew each year. You will receive an email notification before your renewal date.

You may cancel your subscription at any time through the Stripe customer portal. Cancellation stops future charges but does not provide a refund for the current billing period.

Upon cancellation or non-payment, your Premium Featured Listing will be converted to a free listing.

20.9 Liability

InspiringClicks is not responsible for any interactions, transactions, or disputes between directory users and listed businesses. The directory is provided “as is” without guarantees of traffic, leads, rankings, or business outcomes. Listed businesses are solely responsible for their own legal and regulatory compliance.

20.10 For Directory Users

The Calgary Business Directory is provided for informational purposes only. Listing information — including business hours, addresses, reviews, and contact details — is sourced from publicly available data, primarily Google Business Profiles, and is displayed to provide transparency so users can make their own informed decisions.

InspiringClicks does not endorse, recommend, or certify any business listed in the directory. A listing does not constitute a verification of the business’s quality, reliability, licensing, or legitimacy beyond the existence of a Google Business Profile or other public information.

Listings are not background-checked or verified for business legitimacy, quality, or licensing unless explicitly stated. Verification is limited to confirming a valid Google Business Profile and email address.

User reviews represent individual opinions and are not verified or endorsed by InspiringClicks.

External links to business websites are provided for convenience. InspiringClicks is not responsible for the content, security, or practices of third-party websites.

InspiringClicks is not responsible for any transactions, interactions, disputes, or outcomes between users and listed businesses. Users are encouraged to conduct their own due diligence before engaging with any business.
